Terms of service (Beta)

These Terms of Service (“Terms”) govern the access and use of the Unmio platform (“Service”), provided by Entidad. (“Entidad,” “we,” “our,” or “us”). By accessing or using the Service, you agree to comply with these Terms. Please note that the Unmio platform is currently offered as part of a Beta Program.

1. Acceptance of Terms
By accessing or using the Unmio platform in its beta stage, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform.

2. Eligibility
The Unmio platform in beta is available only to organizations or individuals who can form legally binding contracts under applicable law. By using the platform, you represent that you meet this eligibility requirement. 3. Use of the Service (Beta Disclaimer)

3.1 Beta Program Terms
The Unmio platform is currently offered as part of a Beta Program. By participating in the Beta Program, you acknowledge and agree that: The platform is a beta version and may contain bugs, incomplete features, or limited functionality. Entidad does not guarantee platform uptime, availability, or performance during the beta period, and service disruptions may occur. Entidad reserves the right to modify, update, or terminate the Beta Program, including terminating your access to the platform, at any time without prior notice.

3.2 Permitted Use
The Service is provided solely for your internal business use. You agree not to use the Service for any unlawful or prohibited activities, including: Violating any applicable laws or regulations. Infringing on intellectual property rights. Distributing malware or harmful content. Engaging in spamming or other disruptive activities.

3.3 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Entidad immediately of any unauthorized use of your account.

4. Subscription and Fees
Access to the Unmio platform subject to the terms of the Beta Program. Fees and subscription details applicable will be communicated in the Order Form or MSA.

5. Changes to the Service
Entidad reserves the right to modify or discontinue any feature of the Service at any time, with or without notice. If changes materially affect the Service you have subscribed to, you may have the right to terminate your subscription as provided in the MSA. 6. Intellectual Property All content, features, and technology associated with the Unmio platform are the intellectual property of Entidad. You are granted a limited, non-exclusive license to use the Service under the terms of your subscription. You may not modify, reproduce, distribute, or create derivative works from the platform.

7. Data and Privacy
Your use of the platform is subject to our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8. Feedback and Improvements
By participating in the beta, you agree to provide feedback, suggestions, or ideas to improve the platform. All rights to feedback become the property of Entidad, and Entidad may use this feedback for future improvements without any compensation or further obligation.

9. Limitation of Liability
During the beta period, Entidad will not be liable for any damages arising from the use or inability to use the platform. This includes any indirect, incidental, or consequential damages, such as loss of profits or data. Entidad’s total liability under these Terms will not exceed the amount of fees paid, if any, during the beta period.

10. Indemnification
You agree to indemnify and hold harmless Entidad and its affiliates from any claims, damages, or losses arising out of your use of the platform during the beta period, including violations of these Terms or applicable laws.

11. Governing Law
These Terms are governed by the laws of California. Any disputes arising from these Terms will be resolved in the courts of California.


END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between Entidad, Inc. (“Entidad”) and you, either an individual or a legal entity (“User”), governing the use of the Unmio platform (“Software”). By accessing or using the Software, you agree to the terms and conditions set forth in this Agreement.

1. License Grant
Entidad grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business purposes during the Subscription Term. The Software is licensed, not sold, and you may not modify, reverse-engineer, distribute, or sublicense the Software.

2. License Restrictions
Users are prohibited from: Modifying, altering, adapting, or translating the Software. Distributing, transferring, or sublicensing the Software to any third party. Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Software. Using the Software for any unlawful purpose or in violation of any applicable laws.

3. Term and Termination
This Agreement remains effective until terminated. Entidad may terminate this Agreement and your access to the Software:
- For Breach: If you breach any terms of this Agreement, including misuse of the Software.
- For Non-payment: If payment for the Software’s subscription fees is not made in accordance with the applicable terms.
- For Convenience: Either party may terminate this Agreement for convenience by providing 30 days’ written notice to the other party. Upon termination, you must immediately cease using the Software and delete all copies of it in your possession.

4. Intellectual Property Rights
All intellectual property rights in and to the Software, including any updates, enhancements, or modifications, are owned exclusively by Entidad or its licensors. You acquire no rights to the Software other than the limited license granted herein.

5. Support and Maintenance
Entidad may, but is not obligated to, provide updates, maintenance, and support for the Software. If provided, such support will be governed by a separate agreement or support policy.

6. Limitation of Liability Exclusion of Indirect Damages:
In no event will Entidad be liable for any indirect, incidental, special, or consequential damages, including loss of profits, loss of data, or business interruption, arising from the use or inability to use the Software, even if Entidad has been advised of the possibility of such damages.

Cap on Direct Damages:
Entidad’s total liability under this Agreement will not exceed the amount of subscription fees paid by you to Entidad in the 12 months preceding the event giving rise to the claim.

7. Warranties and Disclaimer
The Software is provided “as is,” and Entidad disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Entidad does not warrant that the Software will be error-free or that its operation will be uninterrupted.

8. Data Collection and Privacy
Your use of the Software is subject to Entidad’s Privacy Policy, which describes how your data is collected, processed, and stored.

9. Governing Law
This Agreement is governed by the laws of California, without regard to its conflict of laws principles. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts in California.
